Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Seedless wallet application, the website at seedlesslabs.xyz, and related services (collectively, the "Service") provided by Seedless Labs, Inc., a Delaware corporation, together with its affiliated operating entity Seedless Labs Limited, a company registered in Nigeria (collectively, "Seedless," "we," "us," or "our"). By using the Service, you agree to be bound by these Terms.

1. Non-custodial wallet

Seedless is a non-custodial wallet. We never hold, control, or have access to your funds, your private keys, or your passkey credentials. You are solely responsible for the security of the device on which your passkey is stored, and for any transactions authorized from your wallet.

2. Beta software

The Service is currently offered as a private mainnet beta. It is provided on an "as is" and "as available" basis. Features may change, break, or be removed without notice. You should not transact with funds you cannot afford to lose during the beta period.

3. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. You are responsible for ensuring that your use of the Service is lawful in your jurisdiction.

4. Your responsibilities

You agree that you will:

• Keep the device storing your passkey secure, including by maintaining a screen lock and current operating-system updates
• Not use the Service for any unlawful activity, including money laundering, fraud, or sanctions evasion
• Not attempt to reverse engineer, exploit, or interfere with the Service or the underlying networks it depends on
• Comply with all applicable laws, including tax laws, in your jurisdiction

5. Third-party services and protocols

The Service interacts with third-party infrastructure, including the Solana network, RPC providers, passkey infrastructure providers, privacy infrastructure providers, and gasless transaction relayers. We do not control these third parties and are not responsible for their availability, performance, or actions. Your use of any third-party service is governed by that service's own terms.

6. No financial advice

Nothing in the Service constitutes financial, investment, legal, or tax advice. Tokens accessible through the Service may lose value, become illiquid, or otherwise fail to perform. You are solely responsible for evaluating any token, protocol, or transaction before interacting with it.

7. Intellectual property

The Service, including its software, designs, branding, and content, is owned by Seedless or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. All other rights are reserved.

8. Disclaimers

To the fullest extent permitted by law, the Service is provided without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, uptime, or accuracy. We do not warrant that the Service will be uninterrupted, error-free, or secure against unauthorized access.

9. Limitation of liability

To the fullest extent permitted by law, in no event shall Seedless, its affiliates, or its contributors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service. Our aggregate liability for any direct damages shall not exceed one hundred United States dollars (US $100).

10. Indemnification

You agree to indemnify and hold harmless Seedless from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

11. Termination

We may suspend or terminate your access to the Service at any time, for any reason, without notice. Because the wallet is non-custodial, termination of your access to the Seedless application does not affect your ability to access funds associated with your passkey through other compatible tools.

12. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Continued use of the Service after a revision constitutes acceptance of the updated Terms.

13. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, and you consent to the personal jurisdiction of those courts. Nothing in these Terms limits any mandatory consumer-protection rights you may have under the laws of your country of residence.
